The first listing of the right to shares (PDA) Steel Consortium was held on 6 December 2007.
The company has not yet paid dividends to their shareholders.
Issuance of Series C shares
On 22 April 2008 Extraordinary Shareholders Meeting of Konsorcjum Stali passed a resolution on increasing the company's share capital by 2 667 378 PLN to the amount of PLN 5 897 419 by issuing 2 667 378 Series B ordinary bearer shares. The stocks were allotted to the Bodeko company owners, in exchange for their shares in Bodeko. The parity of the exchange was established in such a way that the owners of Bodeko took 254.036190 (two hundred fifty four 36190/1000000)shares of Konsorcjum Stali. As a result of the issuing of series C shares 45.23 percent of total share capital of Konsorcjum Stali were allotted to Bodeko shareholders. Series A shares represent 50.87 of Konsorcjum Stali share capital and the Series B shares represent 3.90 percent.
On 7 October 2008 Konsorcjum Stali submitted a notice accompanied by the memorandum on Series C shares issuing to the Financial Supervisory Commission. KNF has expressed no opposition to the publication of the memorandum and it was made public on the website of the Konsorcjum Stali on 7 November 2008.
26 November 2008, in accordance with a resolution of the board of KDPW SA No 636/08 of 17 November 2008 and Resolution No. 645/08 of 24 November 2008 National Deposit registered 2 667 378 Series C shares under the issuer code PLKCST00010.
On 21 November 2008, the Board of the Warsaw Stock Exchange adopted a resolution on the marketing of 2,667,378 Series C shares on the Warsaw Stock Exchange.
Series C Shares were subject to lock-up until 6 December 2008. Under the terms of the investment agreement of 22 May 2007 between theKonsorcjum Stali, its shareholders and the company Bodeko and its shareholders, the shareholders of Konsorcjum Stali could not sell Series C shares within a period of 12 months from the date of first listing of PDA (rights to shares) of Konsorcjum Stali on the Warsaw Stock Exchange, which occurred on 6 December 2007.
